1. Introduction

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("Client", "you", "your") and Parshwanth Formatting (OPC) Private Limited, trading as VP Internationals ("Company", "we", "us", "our"), governing your use of our website vpinternationals.com and all services provided by us.

By accessing our website, requesting a quote, or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our website or services.

2. Services Description

VP Internationals provides professional digital services including but not limited to:

• CV/Resume Formatting: Professional formatting with 1-3 hour turnaround
• Web Design & Development: Custom websites and landing pages
• Web Application Development: Custom web applications and portals
• Social Media Management: Content creation and engagement management
• Graphic Design: Branding, marketing materials, and visual design
• Data Processing: Data entry, conversion, and management
• SEO Services: Search engine optimisation and digital marketing

Specific service details, deliverables, and timelines are outlined in individual project proposals and quotations.

3. Quotations and Proposals

Validity

All quotations and proposals are valid for 30 days from the date of issue unless otherwise stated. Prices may be subject to change after this period.

Acceptance

A project commences upon written acceptance of a quotation (via email or our platform) and receipt of any required deposit payment. Your acceptance confirms agreement to these Terms and the specific project scope outlined in the quotation.

Scope Changes

Any changes to the agreed scope may affect timelines and costs. We will provide a revised quotation for approval before implementing significant scope changes.

4. Client Obligations

To ensure successful project delivery, you agree to:

• Provide accurate and complete information, materials, and content as required
• Respond to queries and approval requests in a timely manner
• Ensure you have the right to use any materials provided to us
• Provide feedback and approvals within agreed timeframes
• Make payments according to the agreed schedule
• Designate a primary point of contact for the project

Delays caused by late provision of materials or feedback may affect project timelines and are not the responsibility of VP Internationals.

5. Payment Terms

Currencies Accepted

We accept payments in GBP, USD, CAD, AUD, SGD, HKD, and INR via bank transfer to our local accounts in each currency. Payment details are provided in invoices.

Payment Schedule

• Small Projects (under £500): 100% payment upfront before work commences
• Medium Projects (£500-£2,500): 50% deposit upfront, 50% upon completion
• Large Projects (over £2,500): 40% deposit, 30% at midpoint, 30% upon completion
• Ongoing Services: Monthly invoicing, due within 14 days

Late Payment

Invoices are due within 14 days of issue unless otherwise agreed. Late payments may incur interest at 2% per month on outstanding amounts. We reserve the right to suspend work on accounts with overdue invoices.

6. 100% Money-Back Guarantee

Guarantee Conditions

Our money-back guarantee applies under the following conditions:

• The claim is made within 7 days of initial delivery
• You have provided clear feedback on why the work does not meet requirements
• We have been given reasonable opportunity to revise the work (minimum 2 revision rounds)
• The original project brief has not substantially changed
• All materials requested were provided by the client

Exclusions

The guarantee does not apply to:

• Changes to requirements after work has commenced
• Third-party costs (hosting, domains, stock images, etc.)
• Work completed and approved by the client
• Cancellations due to client-side delays exceeding 30 days

7. Delivery and Revisions

Delivery Timelines

Estimated delivery times are provided in project quotations. These are good-faith estimates based on the information available at the time. Actual delivery may vary based on project complexity and client responsiveness.

Revisions

• CV Formatting: Unlimited revisions until client satisfaction
• Web Design: Up to 3 rounds of revisions included
• Graphic Design: Up to 3 rounds of revisions included
• Other Services: As specified in project quotation

Revisions beyond the included rounds may be charged at our standard hourly rate.

Final Approval

Projects are considered complete upon written approval from the client or 14 days after final delivery without feedback, whichever occurs first.

8. Intellectual Property

Client Materials

You retain ownership of all materials, content, and intellectual property you provide to us. By providing materials, you grant us a limited licence to use them solely for completing your project.

Deliverables

Upon full payment, you receive ownership of the final deliverables created for your project, except for:

• Third-party elements (stock images, fonts, plugins) which remain subject to their original licences
• Our proprietary tools, templates, and methodologies
• Generic code frameworks that may be reused in other projects

Portfolio Rights

Unless otherwise agreed in writing, we reserve the right to display completed work in our portfolio and marketing materials. If confidentiality is required, please inform us before project commencement.

9. Confidentiality

We treat all client information, documents, and project details as confidential. Our ISO 27001:2022 certification demonstrates our commitment to information security. We agree to:

• Not disclose your confidential information to third parties without consent
• Use appropriate security measures to protect your data
• Securely delete project files within 30 days of project completion (unless retention is requested)
• Require confidentiality agreements from any subcontractors

10. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claim arising from our services shall not exceed the total fees paid for the specific project in question
• We are not liable for indirect, incidental, consequential, or punitive damages
• We are not liable for delays or failures due to circumstances beyond our reasonable control
• We are not liable for the accuracy or legality of content provided by the client

Indemnification

You agree to indemnify and hold VP Internationals harmless from any claims, damages, or expenses arising from your use of our services, your breach of these Terms, or your violation of any third-party rights.

11. Termination

By Client

You may terminate a project at any time by written notice. Upon termination:

• All payments for work completed to date are due
• Deposits are non-refundable unless our money-back guarantee applies
• Ownership of completed work transfers upon payment

By VP Internationals

We may terminate or suspend services if:

• Payment is not received when due
• Client fails to provide required materials after reasonable notice
• Client breaches these Terms
• Continuation of the project would be unlawful or unethical

12. Dispute Resolution

In the event of any dispute arising from these Terms or our services:

• Step 1: Contact us to discuss and attempt to resolve the issue informally
• Step 2: If unresolved, the dispute shall be referred to mediation
• Step 3: If mediation fails, disputes shall be subject to the exclusive jurisdiction of the courts of Gujarat, India

Governing Law

These Terms are governed by and construed in accordance with the laws of India. For clients in other jurisdictions, we make reasonable efforts to comply with local consumer protection laws.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Modified" date. Continued use of our services after changes constitutes acceptance of the revised Terms.

For ongoing projects, the Terms in effect at the time of project commencement will apply unless both parties agree to updated Terms.
